These Terms apply together with our Privacy Policy, each storefront’s terms, and applicable law.

Acceptance

By downloading, installing, browsing, or continuing to use Neurorite materials after you can enter a binding agreement where you live, you agree to these Terms. If you do not agree, stop using the products and uninstall where applicable.

Eligibility

You confirm you are old enough to agree where you live and that you are not barred from using digital services by law or platform rules. The products are not aimed at children under thirteen (13).

Changes

We may update these Terms and the Last updated date. Material changes may require additional notice under storefront rules or local law. Continued use after reasonable notice can mean acceptance where permitted.

License to use

Neurorite grants you a personal, limited, revocable, non-exclusive license to use official builds from authorized stores and our public websites for ordinary consumer use.

Unless applicable law gives you rights we cannot limit: do not copy software except as stores allow; do not reverse engineer beyond what law permits; do not circumvent access controls; do not scrape or overload our sites without permission; do not interfere with other users; do not use Neurorite for unlawful harm or intellectual property infringement.

Neurorite may suspend access when reasonably needed to enforce these rules or protect security.

Paid offerings (including Pro)

Paid plans, including Neurorite Pro where offered, are billed through Apple, Google, or other platforms we name at purchase. Price, renewals, cancellations, refunds, and taxes follow those platform terms unless Neurorite signs a separate written agreement with you.

Acceptable use

Use the products only as intended. Do not harass, defraud, spam, or misuse network access. Audio features are for wellbeing and productivity support; they are not medical diagnosis or treatment.

Intellectual property

Neurorite retains rights in its name, branding, software, and documentation, subject to licenses in third-party dependencies named in product materials. Voluntary product feedback may be used to improve Neurorite without owing you royalties except where law says otherwise.

Disclaimers

To the maximum extent permitted by law, Neurorite provides the products and related sites as is and as available, without warranties of merchantability, fitness for a particular purpose, quiet enjoyment, accuracy, or non-infringement, except any warranty that law does not allow us to disclaim.

Limitation of liability

To the maximum extent permitted by law, Neurorite and its suppliers are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, goodwill, or data, arising from these Terms or the products. Our aggregate liability for direct damages is limited to the greater of fees you paid Neurorite in the twelve months before the claim or twenty-five U.S. dollars (USD 25) where you only use free offerings. Some jurisdictions do not allow these caps; in those cases the limit is the minimum allowed by law.

Indemnity

To the extent permitted by law, you will defend and indemnify Neurorite against third-party claims arising from your misuse or violation of these Terms, except to the extent caused by Neurorite’s willful misconduct where law forbids shifting that liability.

Suspension and termination

You may stop using Neurorite anytime. We may suspend or end access for breach, risk, or legal necessity, subject to storefront policies for paid features.

Export and sanctions

You comply with export and sanctions rules that apply to you and you do not use Neurorite where prohibited.

Miscellaneous

If a provision is unenforceable, the rest remains in effect. Failure to enforce is not a waiver unless agreed in writing.

Governing law. Disputes are governed by the laws of the United States, excluding conflict-of-law rules that would apply another jurisdiction’s substantive law. Exclusive venue and forum for disputes are to be designated by qualified counsel consistent with where Neurorite is organized and does business. Consumers retain non-waivable protections in their home countries.

These Terms are drafted in English; convenience translations, if any, defer to the English version for interpretation unless local law requires otherwise.
